Terms of Service

These Terms of Service (“Terms”) are a binding legal agreement between you (“Customer”, “you”) and MW Marketing Partners LLC, a Wyoming limited liability company with its registered office at 30 N Gould St #45421, Sheridan, WY 82801, United States (“GodAds”, “we”, “our”, or “us”). They govern your access to and use of the GodAds software-as-a-service platform available at god-ads.com and my.god-ads.com and any related services, APIs, documentation, and communications (together, the “Service”).

PLEASE READ CAREFULLY. These Terms contain provisions regarding automatic subscription renewal, a strict no-refund policy, a chargeback-prevention requirement, a limitation of liability, binding arbitration, and a class-action waiver. By creating an account or clicking “I agree” you confirm you have read, understood, and accepted these Terms.

1. Agreement to Terms

You accept these Terms when you (a) check the “I agree to the Terms of Service and Privacy Policy” box during registration, (b) check the equivalent box on our Stripe Checkout page when starting a subscription, or (c) otherwise use the Service. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity. If you do not have such authority, or if you do not agree with these Terms, you must not accept them and you may not use the Service.

2. Eligibility

The Service is intended for business use by marketing agencies, freelancers, and advertisers. You must be at least 18 years of age and legally able to enter into a binding contract in your jurisdiction. The Service is not offered for personal, family, or household purposes. If you use the Service on behalf of end-clients, you are solely responsible for those client relationships.

3. Account registration and security

You must register for an account to use the paid portions of the Service. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for all activity that occurs under your account and for the security of your credentials. You must notify us immediately of any unauthorized access. We reserve the right to suspend or terminate accounts that provide false information, appear to be duplicates, or are used to circumvent plan limits, bans, or policies.

4. Subscription plans, billing, and auto-renewal

The Service is offered on a subscription basis. Our current plans, prices, and included features are listed at my.god-ads.com/pricing. Prices are denominated in euros (EUR). Applicable VAT, sales tax, or similar taxes may be added at checkout based on your account location and collected by Stripe on our behalf.

Auto-renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual, depending on the plan you selected) at the then-current price for that plan, until you cancel. By subscribing, you expressly authorize MW Marketing Partners LLC and its payment processor Stripe to charge your designated payment method on each renewal date without further action on your part.

Your statement or card transaction will show the descriptor MW MARKETING PARTNERS or GODADS.COM. If you do not recognize a charge, please contact us at mwmarketingpartners@outlook.it before contacting your bank — see Section 9 below.

If a renewal payment fails, Stripe will automatically retry the charge using its Smart Retries system over a period of up to 10 days. If the payment still cannot be collected, your subscription will move to a past-due state and access to most features will be suspended until the balance is paid. Your data is not deleted during this grace period.

We may change our prices from time to time. We will give you at least 30 days' prior notice of any price change by email to the address associated with your account. Price changes take effect at the start of the next billing period. If you do not accept a price change you may cancel before its effective date.

5. Free trial

Eligible new accounts may be offered a free trial period of 14 days during which you can use the paid features of a selected plan at no charge. A valid payment method must be provided up-front at Stripe Checkout in order to start the trial.

Trial-to-paid conversion. If you do not cancel before the trial end date shown at checkout and in your account, you expressly authorize us to charge your payment method for the full first billing period of the plan you selected. We will send you reminder emails 3 days and 1 day before the trial ends. You can cancel at any time during the trial from your Stripe Billing Portal or by contacting support.

Cancelling a trial takes effect immediately — access to paid features ends at the moment of cancellation. We do not offer refunds for trials that converted because you forgot to cancel; the 14-day trial period is the opportunity to evaluate the Service before being charged.

6. NO REFUNDS — ALL SALES FINAL

All sales are final. We do not provide refunds, credits, or prorated reimbursements on subscription fees paid for the current or any previous billing period, regardless of whether you continue to use the Service. This policy exists because you have 14 days of free trial to evaluate the Service and because subscriptions grant continuous access to a digital service that has been provisioned in full.

The only exceptions to this no-refund policy are:

• Demonstrable billing errors such as duplicate charges or a charge at the wrong plan caused by our error. You must report the error to mwmarketingpartners@outlook.it within 30 days of the charge, with evidence (Stripe receipt and a description).
• Non-waivable statutory rights. If you are a consumer resident in a jurisdiction that grants you non-waivable rights of refund or withdrawal that apply to digital services (for example, certain rights under the EU Consumer Rights Directive 2011/83/EU where not validly waived), those rights apply notwithstanding this section. Please note that by starting the Service immediately after subscribing — which is the default behavior — you acknowledge that any EU right of withdrawal ceases to apply once we have fully performed the service, as permitted by Article 16(m) of the Directive.

AI wallet credits you purchase are digital, consumable credits used to generate AI copy and images. They are not refundable, whether used or unused. Unused credits expire 12 months after purchase. Promotional or bonus credits are not refundable, transferable, or convertible to cash.

Ad spend is paid by you directly to Meta, Google, or other advertising platforms, or (if you use Stripe Connect rebill) to your agency. GodAds never holds your ad spend and cannot refund it.

7. Cancellation

You can cancel your subscription at any time from the self-service Stripe Billing Portal (Settings → Subscription → Manage billing). When you cancel, your subscription will remain active through the end of the current billing period; you will not be billed again. When the period ends, the account transitions to a read-only state for 30 days before deletion, so you can export or transfer your data.

8. Disputes and chargebacks

Contact us before filing a chargeback. If you have any concern about a charge, you agree to first contact our support team at mwmarketingpartners@outlook.it and give us at least 7 business days to respond and attempt a good-faith resolution. Initiating a chargeback, dispute, or bank reversal with your card issuer before contacting us is a material breach of these Terms and may result in immediate suspension or termination of your account, forfeiture of any data, referral of the outstanding balance (plus fees and costs) to collections, and recovery of chargeback fees.

Fraudulent chargebacks on services that you have used (sometimes called “friendly fraud”) will be contested. As evidence we will provide the bank with, among other things, your acceptance of these Terms, the IP address and timestamp of your account creation and Stripe Checkout, access logs showing use of the Service during the billing period, and a copy of our refund policy. By accepting these Terms you acknowledge that this evidence constitutes proof of delivery and acceptance.

9. AI features and wallet credits

Your plan includes a monthly allowance of AI generations. Generations beyond that allowance are billed against your AI wallet balance at the rates shown in the app at the time of purchase. We may update these rates with 30 days' notice. We do not guarantee the quality, accuracy, or suitability of AI-generated content for any purpose. You are solely responsible for reviewing AI output before publishing it.

10. Acceptable use

You must not, and must not permit anyone using your account to:

• run advertising that is illegal, deceptive, infringing, defamatory, obscene, hateful, or discriminatory, or that targets minors with age-restricted products;
• violate the Meta Advertising Policies, the Meta Platform Terms, Google Ads Policies, Google API Services User Data Policy, or any other advertising-platform policy;
• promote multi-level marketing schemes, get-rich-quick programs, cryptocurrency scams, unregulated financial products, or any product or service prohibited by law in your target geography;
• launch, sell, or distribute malware, spyware, phishing content, or any content designed to circumvent security;
• create multiple accounts to evade plan limits, suspensions, bans, or trial restrictions;
• reverse-engineer, decompile, scrape, framing, rent, resell, or white-label the Service except as expressly permitted in writing;
• interfere with the Service, other users, or the underlying infrastructure, including by load-testing, denial-of-service, or automated crawling beyond normal usage;
• use the Service in any way that exposes GodAds or our partners to a risk of ban, suspension, or penalty from Meta, Google, or any other third-party platform.

We may investigate and remove content, restrict features, suspend, or terminate your account for any actual or suspected violation of this Section, with or without notice. Termination under this Section does not entitle you to a refund.

11. User content and intellectual property

You retain all rights in the content you upload to the Service (ad copy, media files, audience definitions, templates, client data, etc.) (“Your Content”). You grant GodAds a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (including for compression, resizing, and format conversion), and transmit Your Content solely to operate the Service and to publish it to third-party advertising platforms (Meta, Google, etc.) on your behalf. This license ends when you delete Your Content or terminate your account, except for reasonable backup copies that are overwritten in the normal course of operations.

You represent and warrant that you own or have all necessary rights, consents, and authorizations in Your Content and in any personal data included in it, and that publishing Your Content through the Service will not violate any third-party right or applicable law.

The Service itself, including the software, design, trademarks (“GodAds” and our logos), and documentation, is and remains the property of MW Marketing Partners LLC or its licensors. No rights are granted except as expressly set out in these Terms.

12. Meta, Google, and other third-party services

The Service is a technical layer that lets you manage campaigns on Meta, Google, and other platforms. You are the advertiser of record on those platforms. You represent and warrant that you (and your end-clients, where applicable) have accepted and will continuously comply with the terms and policies of every third-party platform you use through the Service, including but not limited to the Meta Platform Terms, Meta Advertising Policies, Google Ads Terms, Google Ads Policies, and GoHighLevel Terms. GodAds is not responsible for decisions those platforms make about your ads or accounts, including reviews, rejections, or bans.

13. Warranties and disclaimers

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, GodAds disclaims all implied warranties including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that it will produce any particular business result (including any specific return on ad spend or lead volume). We do not endorse or guarantee the content of any ads you publish.

14. Limitation of liability

To the maximum extent permitted by applicable law, neither GodAds nor its officers, directors, employees, contractors, or affiliates will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost revenue, lost data, lost opportunities, wasted ad spend, cost of substitute services, or reputational harm, arising out of or related to these Terms or the Service, even if we have been advised of the possibility of such damages.

GodAds' total cumulative liability to you for all claims arising out of or related to these Terms or the Service, whether in contract, tort, warranty, or otherwise, will not exceed the amount you paid to GodAds in the 12 months preceding the event giving rise to the claim.

These limitations do not apply to liability that cannot be excluded or limited under applicable law (for example, liability for fraud, gross negligence, wilful misconduct, or death/personal injury caused by our negligence). If you are a consumer in the European Economic Area or the United Kingdom, your mandatory statutory rights are unaffected by this Section.

15. Indemnification

You agree to defend, indemnify, and hold harmless MW Marketing Partners LLC and its officers, directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) that arise out of or relate to (a) Your Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any law or the rights of a third party, including Meta's or Google's policies.

16. Termination

You may terminate these Terms at any time by cancelling your subscription and deleting your account. We may terminate or suspend your access to all or part of the Service immediately, with or without notice, if you breach these Terms, fail to pay, expose the Service to material risk (for example, by engaging in activity that risks a ban from Meta, Google, or Stripe), or if required by law. On termination (a) your right to use the Service ends, (b) your data will be retained for up to 30 days to allow export, after which it will be deleted except where we are required to retain it by law, and (c) all sections that by their nature should survive termination will survive (including Sections 6 to 15, 17 to 20).

17. Governing law, venue, and dispute resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Binding arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service will be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Sheridan, Wyoming, USA, or by video conference at the arbitrator's discretion. The arbitrator's decision will be final and enforceable in any court of competent jurisdiction. Nothing in this Section prevents either party from seeking injunctive or equitable relief in court to protect intellectual-property rights.

Class-action waiver. You and GodAds each waive any right to bring or participate in any class, collective, or representative action against the other. Any dispute must be brought in your individual capacity.

Consumer carve-out. If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction whose laws do not permit a waiver of local courts or class actions, nothing in this Section limits your non-waivable rights. You may bring proceedings in the courts of your country of residence, and EU consumers may use the online dispute-resolution platform operated by the European Commission at ec.europa.eu/consumers/odr.

18. Changes to these Terms

We may update these Terms from time to time. When we make material changes we will notify you by email at least 30 days before they take effect and post the updated Terms with a new “Last updated” date. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated Terms, your sole remedy is to cancel your subscription before the effective date.

19. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy, the Cookie Policy, and the Refund Policy, constitute the entire agreement between you and GodAds with respect to the Service and supersede any prior agreement.

Severability. If any provision is held to be invalid or unenforceable, the remaining provisions will remain in full force, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.

No waiver. Our failure to enforce any right is not a waiver of that right.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.

Force majeure. Neither party will be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, pandemics, network or infrastructure outages, or acts of third-party platforms.
